Public Offer Agreement

1. GENERAL PROVISIONS

This Public Offer Agreement (hereinafter — the “Agreement”) is a public offer of the Seller addressed to an unlimited number of persons in accordance with Articles 633 and 641 of the Civil Code of Ukraine, and sets out the terms for purchasing goods through the online store (hereinafter — the “Website”).

Placing an order on the Website constitutes the Buyer’s full and unconditional acceptance of the terms of this Agreement. Acceptance is equivalent to concluding a sale and purchase agreement in writing.

The Seller reserves the right to amend the terms of this Agreement without prior notice. The current version is always published on the Website and takes effect from the moment of its publication.

2. TERMS AND DEFINITIONS

In this Agreement, the terms below have the following meanings:

Seller — sole proprietor (FOP) Viktoriia Tarasivna Demchuk, EDRPOU code 3604410581, who places goods for sale on the Website and is a party to this Agreement (full details are given in Section 12).

User – any natural person or legal entity that has access to the Website via the Internet and uses the Website.

Buyer — any natural person with legal capacity or legal entity that has accepted the terms of this Agreement by placing an order.

Goods — vyshyvankas, embroidered items and other items of traditional folk dress, as well as souvenir products, presented on the Website.

Order — a duly completed request by the Buyer to purchase Goods, placed via the form on the Website or by any other convenient means of communication.

3. SUBJECT OF THE AGREEMENT

The Seller undertakes to transfer into the Buyer’s ownership the Goods selected and ordered on the Website, and the Buyer undertakes to accept and pay for the ordered Goods on the terms of this Agreement. The Agreement is deemed concluded from the moment the Seller confirms the Order.

The name, range, quantity, characteristics and price of the Goods are determined by the Buyer independently on the basis of the information published on the Website.

Photographs of the Goods on the Website are for illustration purposes. The colour and certain details of an item may differ slightly from the image owing to the nature of handwork or monitor settings.

4. ORDER PLACEMENT PROCEDURE

To place an order, the Buyer must:

— select the Goods on the Website and check their characteristics (size, colour, ornament, etc.);

— fill in the order form or contact the Seller by the means specified on the Website;

— provide up-to-date contact details: surname and first name, telephone number, postal address or Nova Poshta branch;

— confirm the order.

An order is deemed accepted once confirmation has been received from the Seller (by telephone, via a messenger or by email).

The Seller has the right to refuse to accept an order or to cancel an already accepted order if the Goods are unavailable, if a technical error in the price or description is found, or if the Buyer’s contact details are inaccurate or incomplete.

5. PRICE OF THE GOODS AND PAYMENT PROCEDURE

The price of the Goods is indicated on the Website in hryvnias (UAH) and includes all taxes and charges provided for by law, unless otherwise stated separately.

If an order is placed by a Buyer located outside Ukraine, the cost of the Goods is converted into the equivalent in euros (EUR) or US dollars (USD). The Seller additionally informs the Buyer of the final cost and the payment method before the Goods are dispatched.

The Seller has the right to change the price of the Goods unilaterally. A price change does not apply to orders that have already been confirmed and paid for.

Payment for the Goods is made by one of the following methods, at the Buyer’s choice:

Partial prepayment + cash on delivery — the Buyer pays an advance of 200 (two hundred) hryvnias at the moment of placing the order on the Website. The balance is paid in cash or by card to the Nova Poshta courier on door-to-door delivery, or to the Nova Poshta branch operator on collection of the parcel.

100% prepayment — the full cost of the Goods is paid at the moment of placing the order on the Website through a payment system. The Goods are dispatched after the funds have been received.

The prepayment amount covers the costs of packaging and delivering the Goods. If the Buyer refuses to collect the parcel, the prepayment is non-refundable.

If Goods of proper quality are returned, the postage costs in both directions are borne by the Buyer, unless otherwise agreed separately by the parties.

6. DELIVERY OF THE GOODS

The Goods are delivered throughout Ukraine by the “Nova Poshta” service. International delivery is made by airmail; the cost of delivery outside Ukraine is determined by the delivery service.

After the order is confirmed, the Seller prepares and dispatches the Goods within 1–5 working days, unless other time frames are specified for particular Goods.

If the Goods are not in stock, the time frame for their production and dispatch is stated on the Website on the page of the relevant Goods.

Delivery times are approximate and depend on the operation of the delivery service. The Seller is not liable for delays caused by circumstances arising through the fault of the carrier or as a result of force majeure.

The cost of delivery is calculated according to the carrier’s rates and is paid by the Buyer at the moment of receiving the Goods (cash on delivery).

On receiving the parcel, the Buyer must check the integrity of the packaging and that the Goods match the order in the presence of the carrier’s representative. If damage or a discrepancy is found, the Buyer must draw up a report with the carrier and notify the Seller immediately.

The risk of accidental damage to or loss of the Goods passes to the Buyer from the moment the Goods are handed over to the carrier.

7. RIGHTS AND OBLIGATIONS OF THE PARTIES

The Seller undertakes to:

— hand over to the Buyer the Goods in the quantity and range corresponding to the order;

— ensure proper packaging of the Goods for safe transport;

— provide accurate information about the Goods and their availability;

— keep the Buyer’s personal data confidential in accordance with current legislation.

The Buyer undertakes to:

— read the terms of this Agreement before placing an order;

— provide accurate contact and address details necessary to fulfil the order;

— receive and pay for the ordered Goods;

— if refusing to collect the parcel, notify the Seller in advance to avoid unnecessary delivery costs.

The Seller has the right to:

— amend the terms of this Agreement;

— suspend the operation of the Website to carry out technical work;

— remove from the Order any Goods that are not in the Seller’s warehouse, or cancel the Order if it consists entirely of unavailable goods. The Seller must inform the Buyer of such actions by sending an appropriate email, SMS or Viber/Telegram message;

— unilaterally amend the terms of the public offer by publishing a new version on the Website. Amendments take effect from the moment they are published on the Website;

— refuse service to persons who breach the terms of this Agreement.

8. RETURN AND EXCHANGE OF GOODS

Returns and exchanges of Goods are carried out in accordance with the Law of Ukraine “On Consumer Rights Protection”.

The Buyer has the right to return Goods of proper quality within 14 calendar days of the day of receipt, provided that their marketable condition, original packaging and labels are preserved and there are no signs of use.

Goods made to an individual order (non-standard size, bespoke embroidery, etc.) cannot be returned.

If defects in the Goods are found, the Buyer must notify the Seller within 3 working days of receiving the Goods, providing photos or videos confirming the defect.

Refunds for Goods of improper quality are made within 15 banking days after the Seller receives the returned Goods and the manufacturing defect is confirmed.

Delivery costs for returning Goods of improper quality are borne by the Seller. For returns of Goods of proper quality, they are borne by the Buyer.

9. LIABILITY OF THE PARTIES

For non-performance or improper performance of the terms of this Agreement, the Parties bear liability in accordance with the current legislation of Ukraine.

The Seller is not liable for damage caused to the Buyer as a result of improper use of the Goods or storage that does not comply with the care recommendations.

The Seller’s aggregate liability under this Agreement is in any case limited to the cost of the Goods purchased by the Buyer.

The Parties are released from liability for partial or complete non-performance of obligations if this is the result of force majeure circumstances (natural disaster, martial law, actions of state authorities, etc.) confirmed in the established manner.

The Buyer is responsible for the accuracy and reliability of the data specified in the Order. If the Buyer does not provide accurate data, the Seller is not liable for any consequences arising from the Seller’s use of such data.

The Seller is not liable for the fact that goods on the Website may differ from the actual goods in colour, shape or other parameters owing to the Buyer’s monitor settings and/or the quality of the photographs of the Goods.

10. PERSONAL DATA AND CONFIDENTIALITY

By placing an order, the Buyer consents to the processing of their personal data (name, contact telephone number, delivery address) solely for the purpose of fulfilling the order, in accordance with the Law of Ukraine “On Personal Data Protection”.

The Seller undertakes not to transfer the Buyer’s personal data to third parties, except for the delivery services and payment systems involved in fulfilling the order.

The Buyer may withdraw consent to the processing of personal data by sending a corresponding request to the Seller. Withdrawal of consent makes further fulfilment of the order impossible.

11. INTELLECTUAL PROPERTY

All text information and graphic images published on the Website are the property of the Seller. Brand names, trademarks and logos placed on the Website are the property of their respective owners.

The User may view and download materials from this Website only for personal non-commercial use, provided that all copyright information is retained. It is prohibited to modify the materials of this Website, or to distribute or display them in any form for public or commercial purposes.

13. FINAL PROVISIONS

This Agreement is a public offer in accordance with Articles 633 and 641 of the Civil Code of Ukraine and is governed by the current legislation of Ukraine.

All disputes arising in connection with the performance of this Agreement shall be resolved through negotiation. If agreement cannot be reached, disputes shall be resolved in court at the Seller’s place of registration.

The Parties recognise the legal force of notices sent via messengers (Viber, Telegram), email or SMS as notices that may be used as evidence in the event of disputes.

If any provision of this Agreement is found to be invalid or contrary to current legislation, this shall not render its other provisions invalid.

The Agreement enters into force from the moment the Buyer accepts the offer and remains in effect until the Parties have fully performed their obligations.
