Public Offer Agreement

1. GENERAL PROVISIONS

This Public Offer Agreement (hereinafter — the "Agreement") is a public offer by the Seller, addressed to an unlimited number of persons, in accordance with Articles 633, 641 of the Civil Code of Ukraine, and defines the terms of purchase of goods through the online store (hereinafter — the "Website").

Placing an order on the Website means the Buyer's full and unconditional acceptance of the terms of this Agreement. Acceptance is equivalent to concluding a written sale and purchase agreement.

The Seller reserves the right to amend the terms of this Agreement without prior notice. The current version is always available on the Website and comes into force from the moment of its publication.

2. TERMS AND DEFINITIONS

In this Agreement, the following terms are used in the following meanings:

Seller — individual entrepreneur Vengrynska Ulyana Oleksandrivna, RNOKPP 2656701445, who places goods for sale on the Website and is a party to this Agreement (full details are specified in section 12).

User – any individual or legal entity who has access to the Website via the Internet and uses the Website.

Buyer — any legally capable individual or legal entity who has accepted the terms of this Agreement by placing an order.

Goods — embroidered shirts, embroidered products, and other items of folk costume and souvenir products presented on the Website.

Order — a properly executed application by the Buyer for the purchase of Goods, placed through the form on the Website or by another convenient communication method.

3. SUBJECT OF THE AGREEMENT

The Seller undertakes to transfer ownership of the Goods selected and ordered on the Website to the Buyer, and the Buyer undertakes to accept and pay for the ordered Goods under the terms of this Agreement. The Agreement is considered concluded from the moment the Order is confirmed by the Seller.

The name, assortment, quantity, characteristics, and price of the Goods are determined by the Buyer independently based on the information posted on the Website.

The photographs of the Goods on the Website are illustrative. The color and individual details of the product may slightly differ from the image due to the peculiarities of manual work or monitor settings.

4. ORDER PLACEMENT PROCEDURE

To place an order, the Buyer must:

— select the Goods on the Website and check their characteristics (size, color, ornament, etc.);

— fill out the order form or contact the Seller in the manner specified on the Website;

— provide up-to-date contact details: surname and name, phone number, postal address or Nova Poshta office;

— confirm the order.

The order is considered accepted after receiving confirmation from the Seller (by phone, messenger, or email).

The Seller has the right to refuse to accept an order or cancel an already accepted order in case of absence of Goods, detection of a technical error in the price or description, as well as in case of unreliable or incomplete contact details of the Buyer.

5. PRICE OF GOODS AND PAYMENT PROCEDURE

The price of the Goods is indicated on the Website in Hryvnias (UAH) and includes all legally stipulated taxes and fees, unless otherwise specified separately.

If an order is placed by a Buyer located outside Ukraine, the cost of the Goods is converted into the equivalent of Euros (EUR) or US Dollars (USD). The Seller additionally informs the Buyer about the final cost and payment method before dispatching the Goods.

The Seller has the right to change the price of the Goods unilaterally. Price changes do not apply to already confirmed and paid orders.

Payment for the Goods is made by one of the following methods at the Buyer's choice:

Partial prepayment + cash on delivery — The Buyer pays an advance of 200 (two hundred) Hryvnias at the time of placing the order on the Website. The remaining amount is paid in cash or by card to the Nova Poshta courier upon delivery to the door or to the Nova Poshta office operator upon receipt of the parcel.

100% prepayment — full payment for the Goods is made at the time of placing the order on the Website through the payment system. The Goods are dispatched after the funds are credited.

The amount of prepayment covers the costs of packaging and delivery of the Goods. In case the Buyer refuses to receive the parcel, the prepayment is non-refundable.

In case of return of goods of proper quality, postal expenses for shipping in both directions are borne by the Buyer, unless otherwise agreed by the parties.

6. DELIVERY OF GOODS

Delivery of goods is carried out throughout Ukraine using the "Nova Poshta" service. International delivery is carried out by airmail; the cost of delivery outside Ukraine is determined by the delivery service.

After confirming the order, the Seller prepares and dispatches the Goods within 1-5 business days, unless other terms are specified for a particular Good.

In case the Goods are out of stock, the time for their manufacture and dispatch is indicated on the Website on the page of the corresponding Goods.

Delivery times are approximate and depend on the work of the delivery service. The Seller is not responsible for delays caused by circumstances due to the fault of the carrier or due to force majeure.

The cost of delivery is calculated in accordance with the carrier's tariffs and is paid by the Buyer at the time of receipt of the Goods (cash on delivery).

Upon receipt of the parcel, the Buyer is obliged to check the integrity of the packaging and the conformity of the Goods to the order in the presence of the carrier's representative. In case of damage or non-conformity, draw up a report with the carrier and immediately notify the Seller.

The risk of accidental damage or loss of the Goods passes to the Buyer from the moment the Goods are handed over to the carrier.

7. RIGHTS AND OBLIGATIONS OF THE PARTIES

The Seller undertakes to:

— transfer the Goods to the Buyer in the quantity and assortment corresponding to the order;

— ensure proper packaging of the Goods for safe transportation;

— provide reliable information about the Goods and their availability;

— maintain the confidentiality of the Buyer's personal data in accordance with current legislation.

The Buyer undertakes to:

— familiarize themselves with the terms of this Agreement before placing an order;

— provide accurate contact and address data necessary for order fulfillment;

— receive and pay for the ordered Goods;

— in case of refusal to receive the parcel, notify the Seller in advance to avoid unnecessary delivery costs.

The Seller has the right to:

— amend the terms of this Agreement;

— suspend the Website for technical work;

— remove Goods missing from the Seller's warehouse from the Order, or cancel the Order if the Order consists entirely of missing goods. The Seller is obliged to notify the Buyer of such actions by sending a corresponding email or SMS message or message in Viber/Telegram;

— unilaterally amend the terms of the public offer by posting a new version on the Website. Changes come into effect from the moment they are posted on the Website;

— refuse service to persons who violate the terms of this Agreement.

8. RETURN AND EXCHANGE OF GOODS

Return and exchange of Goods are carried out in accordance with the Law of Ukraine "On Consumer Protection".

The Buyer has the right to return Goods of proper quality within 14 calendar days from the date of receipt, provided that the marketable condition, original packaging, labels, and absence of signs of use are preserved.

Return of Goods made to individual order (non-standard size, custom embroidery, etc.) is not permitted.

In case of defects in the Goods, the Buyer is obliged to notify the Seller within 3 business days from the moment of receipt of the Goods, providing photos or videos confirming the defect.

Refunds for Goods of improper quality are made within 15 banking days after the Seller receives the returned Goods and confirms the manufacturing defect.

Shipping costs for returning Goods of improper quality are borne by the Seller. For returning Goods of proper quality - by the Buyer.

9. RESPONSIBILITY OF THE PARTIES

For non-performance or improper performance of the terms of this Agreement, the Parties shall be liable in accordance with the current legislation of Ukraine.

The Seller is not responsible for damage caused to the Buyer as a result of improper use of the Goods or storage that does not comply with care recommendations.

The Seller's aggregate liability under this Agreement is in any case limited to the cost of the Goods purchased by the Buyer.

The Parties are released from liability for partial or complete non-performance of obligations if this was due to force majeure circumstances (natural disaster, state of war, actions of public authorities, etc.), confirmed in the established manner.

The Buyer is responsible for the accuracy and reliability of the data specified in the Order. If the Buyer does not provide accurate data, the Seller is not responsible for the consequences arising from the Seller's use of such data.

The Seller is not responsible for the fact that the goods on the Website may differ from the real ones in color, shape, or other parameters due to the Buyer's monitor settings and/or the quality of the product photos.

10. PERSONAL DATA AND CONFIDENTIALITY

By placing an order, the Buyer gives consent to the processing of their personal data (name, contact phone number, delivery address) exclusively for the purpose of fulfilling the order in accordance with the Law of Ukraine "On Personal Data Protection".

The Seller undertakes not to transfer the Buyer's personal data to third parties, except for delivery services and payment systems involved in the order fulfillment.

The Buyer may withdraw consent to the processing of personal data by sending a corresponding request to the Seller. Withdrawal of consent entails the impossibility of further order fulfillment.

11. INTELLECTUAL PROPERTY

All textual information and graphic images published on the Website are the property of the Seller. Brand names, trademarks, and logos posted on the Website are the property of their respective owners.

The User may view and download materials from this Website only for personal non-commercial use, provided that all copyright information is retained. It is prohibited to modify the materials of this Website, as well as to distribute or display them in any form for public or commercial purposes.

13. FINAL PROVISIONS

This Agreement is a public offer in accordance with Articles 633, 641 of the Civil Code of Ukraine and is governed by the current legislation of Ukraine.

All disputes arising in connection with the performance of this Agreement shall be resolved through negotiations. In case of failure to reach an agreement, they shall be resolved in court at the place of the Seller's registration.

The Parties acknowledge the legal force of messages sent via messengers (Viber, Telegram), email, or SMS, as such that can be used as evidence in case of disputes.

If any provision of this Agreement is found to be invalid or contrary to current legislation, this does not entail the invalidity of its other provisions.

The Agreement comes into force from the moment of the Buyer's acceptance of the offer and remains valid until the Parties fully fulfill their obligations.
